الملخص
لأجل إن یتخلص التاجر من مسؤولیتة الشخصیة عن کافة دیونه والتزاماته تم الاتجاه نحو التفکیر بتحدید مسؤولیته وحدث ذلک منذ زمن بعید وقد کانت بدایة المحاولات نحو تحدید مسؤولیة التاجر هی السماح له بإنشاء الشرکة ذات المسؤولیة المحدودة والتی منها وجدت شرکة الشخص الواحد وترجع فکرة إنشاء شرکة الشخص الواحد إلى تشریع إمارة لیشتنشین(1) التی أجازت تأسیس شرکة الشخص الواحد ذی المسؤولیة المحدودة وذلک عن طریق الاستناد على نظریة تخصیص الذمة المالیة والتی بموجبها یستطیع أی شخص طبیعی کان أم معنوی أن یقتطع جزء من أمواله ویخصصها لاستغلال مشروع معین سواء أکان هذا المشروع مدنیا أم تجاریا
